PUBLIC OFFER AGREEMENT

for Ordering, Purchase and Delivery of Goods

This Agreement constitutes an official and public offer of the Seller to enter into a sales contract for Goods presented on the website www.suchka.shop.
This Agreement is public pursuant to Article 633 of the Civil Code of Ukraine, meaning that its terms are identical for all buyers regardless of their status (individual, legal entity, or sole proprietor), without granting preference to one buyer over another.

By entering into this Agreement, the Buyer fully accepts the terms and procedures for placing orders, payment, delivery, return of goods, liability for improper orders, and all other terms of this Agreement.
The Agreement is deemed concluded at the moment the Buyer clicks the “Confirm Order” button on the checkout page in the “Cart” section and receives electronic confirmation of the order from the Seller.

1. Definitions

1.1. Public Offer (the “Offer”) – a public proposal of the Seller addressed to an indefinite number of persons to conclude a distance sales contract for Goods under the terms set forth in this Offer.

1.2. Goods or Services – the subject of the agreement between the Parties selected by the Buyer on the Online Store website and placed in the cart, or already purchased by the Buyer remotely from the Seller.

1.3. Online Store – the Seller’s website located at www.suchka.shop, created for concluding retail and wholesale sales contracts based on the Buyer’s review of Goods descriptions via the Internet.

1.4. Buyer – a legally capable individual who has reached the age of 18, receives information from the Seller, places orders for Goods presented on the Online Store website for purposes not related to entrepreneurial activity, or a legal entity or sole proprietor.

1.5. Seller – Limited Liability Company “Suchka”, identification code 44562274, a legal entity established and operating under the laws of Ukraine, located at:
65023, Odesa Region, Odesa city, Novoselskoho Street, building 66.

2. Subject of the Agreement

2.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.

2.2. The date of conclusion of this Agreement (acceptance of the Offer) and the moment of full and unconditional acceptance by the Buyer shall be the date the Buyer completes the order form on the Online Store website, provided that the Seller sends electronic confirmation of the order.
At the Buyer’s request, the Agreement may be executed in written form.

3. Order Placement

3.1. The Buyer places an order independently via the “Cart” on the Online Store website, by email, or by phone number listed in the Contacts section.

3.2. The Seller has the right to refuse order fulfillment if the information provided by the Buyer is incomplete or raises doubts as to its authenticity.

3.3. When placing an order, the Buyer must provide the following mandatory information:

  • first and last name;
  • delivery address (if delivery is to the Buyer’s address);
  • contact phone number;
  • identification code (for legal entities or sole proprietors).

3.4. The name, quantity, SKU, and price of the selected Goods are indicated in the Buyer’s cart on the website.

3.5. If additional information is required, either Party may request it. Failure by the Buyer to provide such information releases the Seller from responsibility for proper service performance.

3.6. Acceptance of this Offer is carried out by entering the required data on the website or when placing an order via the Seller’s operator. Buyer data is stored in the Seller’s database.

3.7. The Buyer is responsible for the accuracy of the information provided.

3.8. By placing an order, the Buyer confirms that:

  • they have fully reviewed and accepted this Offer;
  • they consent to the collection, processing, storage, and transfer of personal data in accordance with the Law of Ukraine “On Personal Data Protection” for the purposes of order fulfillment, settlements, and documentation.

4. Price and Delivery

4.1. Prices for Goods and services are set by the Seller and displayed on the website in Ukrainian hryvnias, including VAT.

4.2. Prices may be changed unilaterally, except for Goods already fully paid by the Buyer.

4.3. The cost of Goods does not include delivery charges, which are paid by the Buyer according to the carrier’s tariffs.

4.4. The Seller may provide an estimated delivery cost upon request.

4.5. Payment obligations are considered fulfilled upon receipt of funds in the Seller’s account.

4.6. Payment methods are listed on the website in the Payment & Delivery section.

4.7. Upon receipt, the Buyer must check the Goods in the presence of the carrier for quantity, appearance, and completeness.

4.8. Ownership and risk of loss transfer to the Buyer upon receipt of the Goods or upon transfer to the carrier selected by the Buyer.

5. Rights and Obligations of the Parties

5.1. Seller Obligations:

  • deliver the Goods according to the Agreement;
  • not disclose Buyer’s personal information except as required by law or order fulfillment.

5.2. Seller Rights:

  • unilaterally amend this Agreement and prices by publishing updates on the website.

5.3. Buyer Obligations:

  • review this Agreement before purchase;
  • provide accurate data necessary for order fulfillment.

6. Returns

6.1. In accordance with Article 9 of the Law of Ukraine “On Consumer Protection”, the Buyer may exchange or return non-food Goods of proper quality within 14 days, excluding the purchase date, provided the Goods:

  • were not used;
  • retain commercial appearance, packaging, seals, labels;
  • are accompanied by proof of purchase;
  • are not included in the list of Goods not subject to return, approved by Resolution of the Cabinet of Ministers of Ukraine No. 172 dated 19.03.1994.

6.2. According to Resolution No. 172, Goods of proper quality not subject to return or exchange include:

  • corsetry products;
  • underwear;
  • hosiery products;
  • other sanitary and hygienic items.

6.3. The Buyer must inspect the Goods upon receipt in the presence of the carrier.

6.4. After acceptance without remarks, the Goods are deemed delivered in proper condition.
Returns of Goods of proper quality are not accepted, except in cases of hidden manufacturing defects proven under applicable law.

6.5. Refunds, where legally applicable, are made via bank transfer.

6.6. Returns are carried out at the Seller’s address listed in the Contacts section.

7. Liability

The Parties bear liability in accordance with Ukrainian law. Neither Party is liable for force majeure circumstances including war, natural disasters, or other events beyond control.

8. Confidentiality and Personal Data

The Seller processes personal data in compliance with Ukrainian law and does not disclose it unlawfully.

9. Final Provisions

This Agreement is governed by the laws of Ukraine. Disputes shall be resolved through negotiations or in court under Ukrainian law.
